By accessing or using the ProdigEye website and platform ("Service"), you agree to be bound by these Terms of Use ("Terms") and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this Service.
These Terms apply to all visitors, users, and healthcare professionals who access or use the Service. ProdigEye reserves the right to modify these Terms at any time, and such modifications shall be effective immediately upon posting.
2. Nature of the Service
The ProdigEye platform provides AI-assisted analysis of anterior segment eye images to support, not replace, the clinical judgment of qualified medical practitioners. All diagnostic outputs and treatment suggestions must be reviewed and verified by a licensed healthcare professional before any clinical action is taken.
3. Eligibility and Authorised Use
Access to and use of ProdigEye is restricted to:
- Licensed physicians, general practitioners, and ophthalmologists
- Registered nurses and other licensed clinical staff operating under physician supervision
- Authorised healthcare institutions and medical facilities
- Approved research and development partners under written agreement
By using the Service, you represent and warrant that you hold the appropriate professional licences and authorisations required in your jurisdiction to provide medical care and use clinical decision support software.
4. Intellectual Property
All content, features, and functionality of the ProdigEye Service, including but not limited to the AI algorithms, software code, text, graphics, logos, images, and data compilations, are the exclusive property of ProdigEye Ltd. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any content from this Service without our express written consent.
5. Prohibited Uses
You agree not to use the Service to:
- Provide diagnostic outputs directly to patients without professional clinical review
- Attempt to reverse engineer, decompile, or extract the underlying AI models or algorithms
- Upload images or data that do not belong to patients under your direct clinical care
- Transmit any patient data without appropriate consent and legal authority
- Use the Service in any way that violates applicable local, national, or international law
- Attempt to gain unauthorised access to any part of the Service or its infrastructure
- Use the Service for commercial resale or redistribution without a written licence agreement
6. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.
7. Limitation of Liability
To the fullest extent permitted by applicable law, ProdigEye Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from:
- Your use of, or inability to use, the Service
- Any clinical decision made in reliance on the Service outputs
- Unauthorised access to or alteration of your data
- Any third-party conduct or content on or through the Service
ProdigEye's total cumulative liability shall not exceed the amount paid by you to ProdigEye in the twelve months preceding the claim.
8. Regulatory Compliance
ProdigEye is developed and operated in accordance with applicable medical device regulations, including:
- EU Medical Device Regulation (MDR) 2017/745 and applicable SaMD guidance
- FDA Software as a Medical Device (SaMD) pre-submission framework
- ISO 13485 Quality Management System for Medical Devices
- IEC 62304 Medical Device Software lifecycle processes
- International Medical Device Regulators Forum (IMDRF) SaMD framework
Users are responsible for ensuring that their use of the Service complies with all applicable regulations in their own jurisdiction.
9. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Israel and the European Union where applicable, without regard to its conflict of law provisions. For EU users, mandatory consumer protection provisions of your country of residence shall apply.
Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts of Israel, except where EU law requires otherwise.
